Terms and Conditions

1. Scope and contract partner

These terms and conditions apply to all contracts for the flex-desk workspace including business address and mail reception at Kirchplatz 8, 41334 Nettetal-Kaldenkirchen, Germany, concluded via this website.

The contract partner is ARUS Solutions GmbH, Kirchplatz 8, 41334 Nettetal-Kaldenkirchen, Germany, Krefeld local court HRB 21018, represented by its managing director Ursula Becker ("ARUS").

The offer is aimed exclusively at businesses within the meaning of § 14 BGB (German Civil Code), in particular companies based outside Germany (LLC, Ltd, FZE and similar). The customer's own terms do not become part of the contract.

2. Services

For the term of the contract ARUS provides the following services:

  • Use of a flex-desk workspace on up to 4 days a month, Monday to Friday from 9 am to 5 pm, booked one working day in advance by email.
  • The right to use the address Kirchplatz 8, 41334 Nettetal-Kaldenkirchen as business address, with company signage on the mailbox and doorbell.
  • Reception of incoming mail, notification of receipt, on request opening and scanning or worldwide forwarding with tracking. Postage and shipping are charged to the customer at cost.
  • Lease and rental confirmation for presentation to third parties.
  • Advice on applications with banks, insurers and telecom providers using the business address, plus the support described in section 6.

ARUS advises against using the address in a legal notice (Impressum); details are set out in the lease. Additional services are agreed separately and charged by effort.

3. Conclusion of contract

The customer places the order via the online form and confirms their email address with a code. By clicking "Order now" the customer makes a binding offer.

ARUS accepts the offer by issuing the first invoice. After payment is received the customer receives the lease as a PDF by email, signs it and returns it to ARUS. The rental confirmation follows within 1 to 2 working days after the signed copy arrives.

Payment is made by bank transfer or credit card via the invoicing service used by ARUS.

4. Prices and payment

The rent is EUR 395.00 per twelve-month term and is payable in advance for the whole term; the first rent on conclusion of the contract, subsequent rents before the start of each renewal period.

In the first contract year a one-time setup fee of EUR 99.00 applies in addition (drawing up the contract, creating the customer account, company signage, advice and guidance through the first applications). It does not apply again on renewal. The setup fee is earned once setup is complete and is not refunded, not even under the guarantee in section 7.

All prices are net prices. Customers based in Germany are charged statutory VAT; otherwise VAT applies only where the law requires it.

5. Term and cancellation

The contract starts on the date stated in the lease and runs for twelve months. It renews for a further twelve months each time unless cancelled in writing (email is sufficient) with one month's notice before the end of the current term.

The right to terminate for cause remains unaffected, in particular in the case of unlawful use of the address or premises.

When the contract ends, the right to use the address lapses. The customer updates the address without delay in all directories, registers and business documents.

6. Support with opening a bank account

If a bank declines the customer's application for a business account, ARUS supports the customer as follows:

  • If the bank requires a phone bill at the business address, ARUS sets up a landline for the customer's company and provides a phone bill as additional proof. ARUS provides this only after the rejection and at the bank's request; it is included in the price.
  • ARUS advises the customer on at least two further banks that open business accounts with a business address and, on request, fills in the applications together with the customer.

Whether a bank opens an account is solely the bank's decision. ARUS owes the support, not the account. The customer cooperates by supplying the requested documents completely and truthfully.

7. Money-back guarantee

If, despite the support under section 6, the customer does not obtain a business account for their company at any bank, ARUS refunds the rent of EUR 395.00 paid for the first term. The setup fee is not refunded.

Conditions for the refund:

  • The customer has submitted a complete application to the bank of their choice and to the banks recommended by ARUS, and provides the rejections in writing.
  • The customer has cooperated in the steps under section 6.
  • The customer requests the refund in writing within 30 days of the start of the contract.

ARUS refunds the amount within 14 days of receiving the complete evidence, to the payment method the customer used. The contract ends with the refund; the right to use the address lapses and section 5 paragraph 3 applies accordingly.

The guarantee does not apply if the rejection is based on incorrect or incomplete information from the customer, if the customer refuses to cooperate, or if the bank expressly declines for reasons relating to the customer or their company that have nothing to do with the address (for example sanctions lists, industry, creditworthiness).

8. Customer obligations

The customer uses the address and premises only for lawful business activities and informs ARUS without delay of changes to their contact details, company or representation.

The customer indemnifies ARUS against all third-party claims arising from the customer's use of the address or premises.

The customer authorises ARUS to accept mail addressed to them and to open, scan or forward it as instructed. ARUS does not accept cash-on-delivery items or handle customs formalities.

9. Right of withdrawal

The offer is aimed at businesses; they have no statutory right of withdrawal. Should a consumer exceptionally become the contract partner, the withdrawal notice on the "Withdrawal" page applies. Under it, the right of withdrawal lapses as soon as ARUS has sent the lease, because the service is then fully performed and cannot be taken back.

10. Liability

ARUS is liable without limit for intent and gross negligence and for injury to life, body or health. In cases of slight negligence ARUS is liable only for breach of essential contractual obligations, limited to the typical, foreseeable damage.

Liability for loss of or damage to mail is limited to cases of gross negligence.

11. Data protection

ARUS processes the customer's personal data to carry out the contract. Details are set out in the privacy policy.

12. Final provisions

German law applies. The place of jurisdiction for all disputes is Krefeld, Germany, provided the customer is a business.

Amendments and additions to the contract must be made in writing (text form). Should individual provisions be invalid, the validity of the remaining provisions is unaffected.
